Terms of Use

This End User License Agreement ("EULA") is a legal agreement between end users and Mupi Systems LTDA (CNPJ 26.882.608/0001-80), headquartered in Montes Claros, MG, Brazil, governing use of the eAgenda platform.

The licensor grants non-exclusive, non-transferable usage rights. Key restrictions include:

• No access to source code;
• Prohibition on bypassing technological protections;
• No disassembly, decompilation, decryption, or reverse engineering;
• Cannot remove copyright or trademark notices;
• Unauthorized sharing of intellectual property materials is forbidden.

The EULA becomes effective upon acceptance and remains indefinitely, but either party may terminate at any time without penalty. Termination requires settlement of all outstanding amounts.

Service availability targets 99% annually. Interruptions exempt from compensation include maintenance, force majeure, third-party actions, telecommunications failures, and data center issues.

Response times:

• Software unavailability: 1 hour;
• Feature unavailability: 2 days;
• Workaround issues: 3 days;
• Low-impact issues: 5 days.

The software is provided "as is" without guarantees regarding errors or uninterrupted operation. Users assume responsibility for malware-related interruptions and information leaks. The licensor disclaims liability for losses, damages, or profits resulting from improper software use.

Licensing fees follow pre-paid formats per selected plans. Payment defaults suspend access until settlement. Late payments incur 1% monthly interest, 2% penalty, plus attorney fees. Annual adjustments occur on January 1st using INPC/IBGE indices. Suspension exceeding 30 days may result in data deletion.

All platform content — designs, text, graphics, interfaces, code, and media — belongs to the licensor or partners. Automated copying requires prior written authorization.

Parties maintain confidentiality for five years post-termination regarding system information, trade secrets, and contractor data.

The licensor commits to appropriate and sufficient administrative, technical, and physical security measures protecting data confidentiality and integrity against unauthorized access or loss. Key obligations include:

• Processing data per contractor instructions only;
• Restricting employee and subcontractor access;
• Notifying contractors of breaches within 24 hours;
• Maintaining ISO 27001 certified cloud storage;
• Enabling data rectification, updates, and deletion requests;
• Using anonymized data for statistical/research purposes.

Parties comply with Brazilian anti-corruption laws (Law 12,846/2013) and international treaties, including OECD, OAS, and UN conventions. Non-compliance constitutes a serious violation enabling immediate termination without cost.

Changes to the EULA apply upon publication. Continued use signifies acceptance of modifications. Users bear responsibility for staying updated on EULA modifications. Tolerance of breaches does not waive enforcement rights.
